About Securitize
Founded in 2017 and headquartered in Miami, FL, Securitize (CEO Carlos Domingo) is the leading institutional RWA tokenization platform, operating a vertically integrated stack across an SEC- and FINRA-registered broker-dealer, transfer agent, fund administrator, and Alternative Trading System (ATS). Through its DS (Digital Securities) Protocol it issues permissioned, compliant security tokens with on-chain KYC/AML enforcement and whitelist-based transfer restrictions. As of mid-2025 the company administered $4B+ in tokenized assets and serves as the issuance and transfer-agent partner for BlackRock's BUIDL fund, the world's largest tokenized RWA fund, and for tokenized funds from Apollo, Hamilton Lane, KKR, VanEck, Arca, and BNY. Securitize is BlackRock-backed and announced in October 2025 a business combination with Cantor Equity Partners II at a $1.25B valuation, expected to close in H1 2026 and to take Securitize public.

Securitize is the only fully vertically integrated regulated tokenization stack: SEC-registered transfer agent (Securitize, LLC), broker-dealer (Securitize Markets, LLC), alternative trading system, registered investment advisor (Securitize Capital), and fund administrator (Securitize Fund Services). BREAKING (May 4, 2026, 3:00 PM): Securitize received FINRA approval of its Continuing Membership Application (CMA), significantly expanding Securitize Markets' broker-dealer activities. Per Securitize's own announcement: this makes Securitize the FIRST broker-dealer approved to custody tokenized securities, giving it the first complete full-stack onchain IPO infrastructure. NEW CAPABILITIES UNLOCKED BY THE CMA APPROVAL (per Securitize's tweet thread): (i) Custody of tokenized securities for customers, first BD approved. (ii) ATOMIC SWAPS and clearing/settlement between tokenized securities AND stablecoins onchain in a single transaction (eliminates multi-leg DvP operational complexity). (iii) Securitize Markets can now act as UNDERWRITER or selling group participant for tokenized securities offerings (enables onchain IPO syndication and primary distribution). (iv) Real-time onchain settlement within a regulated broker-dealer. The CMA approval converts the SEC Trading & Markets Dec 17, 2025 Rule 15c3-3 framework into operational reality for Securitize Markets specifically. RECENT MILESTONES: (1) May 4, 2026, FINRA CMA approval. (2) Apr 29, 2026, Securitize + Computershare agreement enabling tokenized share issuance for US public companies (Issuer-Sponsored Tokens / ISTs alongside DRS shares). (3) Mar 24, 2026, NYSE/ICE MOU. (4) Q1 2026, onchain trading platform for real US public stocks. (5) EU DLT Pilot Regime authorization (Avalanche-selected). (6) SPAC merger with Cantor Equity Partners II at $1.25B pre-money valuation, expected H1 2026 close (NASDAQ:SECZ). (7) Backed by BlackRock, Morgan Stanley, and Ark Invest. REVENUE MODEL: (a) transfer-agent ongoing services. (b) fund administration / NAV calculation. (c) tokenization & smart contract deployment. (d) broker-dealer / placement agent fees. (e) ATS trading fees. (f) underwriting / selling-group fees on tokenized securities offerings (NEW post-CMA). (g) custody fees on tokenized securities (NEW post-CMA). (h) atomic swap / settlement fees (NEW post-CMA). Per BUIDL N-1A: BlackRock pays Securitize Markets an upfront flat fee plus a quarterly fee equal to a percentage of avg daily NAV per investor (rate undisclosed). Industry estimates: 5-10 bps slice on institutional tokenized funds. REPORTED FINANCIALS: 841% YoY revenue surge in Q4 2025 per S-4 filing. $4B+ AUM tokenized as of April 2026 across ~24 tracked funds.
How the estimate is built
Take-rate basis: Admin (transfer agency + fund administration + feeder structures); per-fund take not disclosed
Revenue mix: Transfer-agent & fund-admin service fees across BUIDL/ACRED/HL funds/VBILL etc. (rates not public) + own funds (STAC)
Verification method: Mixed: SEC filings (RCOIN, ACRED underlying), official PR (BUIDL share classes), issuer sites
Chain and share-class variants: BUIDL: 50 bps (Ethereum/Arbitrum/Optimism), 20 bps (Aptos/Avalanche/Polygon/Solana)
Subsidies or rebates: BUIDL: Aptos Foundation, Avalanche (BVI) Inc., Polygon Labs BD pay BlackRock quarterly fees subsidizing 20 bps share classes (per official announcement 2024-11-13)
