CHIP is the governance & utility token of USD.AI. CHIP governs the USD.AI DAO. The protocol's user assets are USDai (a PYUSD-overcollateralized synthetic dollar) and sUSDai (its yield-bearing staked version). CHIP can be staked as sCHIP to backstop risk and earn points.
Governance Rights
ControlCHIP holders govern the USD.AI DAO, stewarded offchain by the Cayman-based USD.AI Foundation. Governance sets collateral eligibility (which GPU/hardware models), interest-rate tiers, acceptable offtake-contract structures, jurisdictional restrictions, borrower-profile criteria, fee splits, treasury allocation, and curator approvals, via USD.AI Improvement Proposals (UIPs). Every core parameter of the protocol is subject to CHIP governance.
Governance Decisions
The USD.AI Foundation provides legal infrastructure, custodies the DAO treasury on behalf of tokenholders, and coordinates ecosystem development, with actions directed by tokenholder governance. Independent curators are approved by governance.
Treasury Decisions
The DAO treasury is custodied by the USD.AI Foundation on behalf of CHIP holders, directed by governance.
Revenue Decisions
The protocol earns origination fees (charged at loan close) and net interest spread on GPU-backed loans; fees are directed by CHIP governance toward the treasury.
Fee Switch
ONProtocol service fees (origination + interest spread) accrue to the protocol/treasury.
Equity Statement
USD.AI is developed by Permian Labs Inc. acting as technical/operational service provider to the USD.AI Foundation (a Cayman foundation that stewards the DAO and custodies its treasury for CHIP holders). Permian Labs is equity-backed, the compensation arrangement between Permian Labs and the Foundation/DAO is not publicly disclosed.
Economic Rights
Value CaptureCHIP has no mechanically enforced claim on protocol cash flows. Governance may direct distributable surplus toward buybacks, staking incentives, treasury, or reinvestment (contingent). sCHIP serves as a first-loss insurance backstop. Protocol yield (from loan interest + T-Bill returns) accrues to sUSDai depositors, not CHIP holders.
